Terms of Service

1. Acceptance of Terms

By accessing or using PropNexus (the "Service"), operated by Bravexa Software ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

PropNexus is an AI-powered property operations platform that helps property owners track and manage maintenance, repairs, contractors, warranties, service plans, property assets, and operational costs. The Service includes document upload with AI-powered data extraction, maintenance scheduling, cost tracking, predictive alerts, and data import/export capabilities.

3. Account Registration

You must create an account to use PropNexus. You agree to: provide accurate and complete information during registration; maintain the security of your password and account; promptly update your account information if it changes; accept responsibility for all activities that occur under your account. You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Pricing

PropNexus offers two subscription plans. All features are included in all plans — pricing is based on the number of properties and units ("doors"), not feature restrictions.

Home Plan: $4.99/month, includes 1 door, up to 3 total doors at $2.50 per additional door.

Pro Plan: $14.99/month, includes 3 doors, unlimited additional doors at $2.50 per additional door.

Prices are subject to change with reasonable notice. A "door" is defined as any property or unit — both count equally as billable items. We may offer free trials or promotional pricing at our discretion.

5. Payment Terms

Subscriptions are billed monthly in advance. Payment is processed through our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

6. Your Data & Content

You retain full ownership of all data and content you upload, enter, or create within PropNexus, including property records, documents, photos, and any other information ("Your Content").

By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you. We will not use Your Content for any other purpose, including training AI models.

You are responsible for ensuring that Your Content does not violate any applicable laws or infringe on the rights of third parties. You may export Your Content at any time using the export features in Settings, and you may permanently delete all Your Content by deleting your account.

7. AI-Powered Features

PropNexus uses artificial intelligence to extract structured data from uploaded documents and natural language input. You acknowledge that:

AI-generated suggestions are provided as a convenience and may contain errors or inaccuracies. You are responsible for reviewing and confirming all AI-generated data before records are created. We do not guarantee the accuracy, completeness, or reliability of AI-generated output. Document content is transmitted to our AI provider (Anthropic) for processing and is not retained by the provider after processing.

You should not rely solely on AI-generated data for critical financial, legal, or safety decisions. Always verify important information independently.

8. Acceptable Use

You agree not to use PropNexus to: violate any applicable laws or regulations; upload malicious code, viruses, or harmful content; attempt to gain unauthorized access to other users' accounts or data; interfere with or disrupt the Service or its infrastructure; use the Service for any purpose other than managing property operations; resell, sublicense, or redistribute access to the Service without our written consent; upload content that infringes on intellectual property rights of others.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

9. Service Availability

We strive to keep PropNexus available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage arising from service interruptions or downtime.

10. Limitation of Liability

To the maximum extent permitted by law, PropNexus and Bravexa Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the results obtained from the Service will be accurate or reliable. PropNexus is a property operations management tool and does not provide legal, financial, or professional advice.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bravexa Software and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any applicable laws; or Your Content.

13. Account Termination

You may delete your account at any time from the Settings page. Account deletion is permanent and irreversible — all data, documents, and files associated with your account will be permanently removed from our systems.

We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will make reasonable efforts to notify you before termination when possible.

14. Intellectual Property

The PropNexus name, logo, and all related branding are the property of Bravexa Software. The Service, including its design, code, features, and documentation, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent. Your Content remains your property as described in Section 6.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in the State of Florida.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

17. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
